By subscribing to GroceryShopper.biz services, Subscriber (including all employes) agrees to the following terms:
Subscriber agrees to remain a subscriber for at least twelve (12) consecutive months, paying the applicable subscription fee(s) to GroceryShopper.biz in full each month.
Subscriber agrees that upon defaulting, GroceryShopper.biz will turn the account over to collections to recover the remainder of the twelve-month subscription amount including applicable collection fees.
If not cancelled by the renewal date, this Agreement will automatically renew for a period of twelve (12) months.
By subscribing to GroceryShopper.biz services, Subscriber may gain access to GroceryShopper.biz Proprietary Information. Subscriber agrees not to disclose to any third party (unless legally required) any GroceryShopper.biz Proprietary Information while a subscriber, and for a period of not less than ten (10) years following the termination of this Agreement. Confidential information includes, but is not limited to, documents, forms, spreadsheets, presentations, training materials, printable materials, lists, business practices, and contact information.
Domain names provided with GroceryShopper.biz subscriptions remain property of GroceryShopper.biz.
GroceryShopper.biz will provide best-effort access to all systems related to the subscription. However, GroceryShopper.biz is not responsible for outages, unavailability, loss of data, or other issues which may arise to prevent Subscriber’s access, or Subscriber’s Customers’ Access, to GroceryShopper.biz systems. GroceryShopper.biz is not responsible for lost sales, profits, leads, customers or any other losses due to system outages and/or unavailability.
Customer agrees to comply with all applicable local, state, and federal laws and regulations. GroceryShopper.biz shall not be responsible for ensuring or verifying Customer compliance with any law or regulation, or for any failure of customer to comply.
Businesses formed through the assistance of GroceryShopper are independently owned entities, not franchises or sub-contractors. Each customer entity (whether sole proprietor or corporation) is the sole owner of their GroceryShopper business. As the owner, Customer shall solely be responsible for all legal compliance, taxes, fees, and any other obligations of that business. GroceryShopper.biz shall in no case be considered a franchiser or contractee/principal for these entities.
This Agreement may be terminated by providing a written termination request to GroceryShopper.biz before the Agreement renewal date. Subscriber agrees upon termination to immediately remit the remaining balance of the current Agreement’s subscription amount, or to continue standard monthly subscription payments until the end of the twelve-month Agreement subscription period.
Subscriber must manually discontinue Paypal subscription (if applicable) via the Paypal website when subscription period has ended.
All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the state of Kentucky or another location mutually agreeable to the parties. An award of arbitration may be confirmed in a court of competent jurisdiction.
To the fullest extent permitted by law, Subscriber agrees to defend (including attorney’s fees), pay on behalf of, indemnify, and hold harmless GroceryShopper.biz, its parent company(ies), shareholders, owners, employees and volunteers and others working on behalf of GroceryShopper.biz against any and all claims, demands, suits or loss, including all costs connected therewith, and for any damages which may be asserted, claimed or recovered by reason of personal injury, including bodily injury or death and/or property damage, including loss of use thereof, which arises out of or is in any way connected or associated with this Agreement.
